Terms and Conditions
This invoice reflects the total net price of the product which is inclusive (net) of any and all discounts. As the buyer of the product, you may have additional reporting obligations pursuant to 42 CFR §1001.952(h) and/or upon inquiry by the Secretary or a State agency.
Further, as the buyer, you must adhere to any other relevant federal, state, or other third-party payor (e.g., commercial payor) requirements, including but not limited to any applicable requirements for accurate and timely reporting. New Horizon reserves the right to suspend orders and deliveries if New Horizon believes it is required to do so by applicable law or if you fail to make timely payments, violate any of your New Horizon agreements, or do not in comply with applicable law. All payments are non-cancellable and nonrefundable. You shall have no more than ninety (90) days from the date of this invoice to raise a claim related to, or dispute, this invoice and any related fees or charges. Unless otherwise required by applicable law without the possibility of contractual waiver or limitation, upon the expiration of such ninety (90) day period, any such claim and dispute and all respective rights lapse. Any amount not paid when due shall accrue interest at the rate of one and one half percent (1 ½%) per month or the maximum rate permitted by Nevada law, whichever is less. You will be responsible for, and shall pay or otherwise reimburse New Horizon for, any and all charges, expenses, damages, liabilities, losses, fees and costs (including, but not limited to, reasonable attorneys’ fees and costs, court costs, arbitration costs, and collection agency fees) associated with any failure by you to make timely and complete payments and/or with New Horizon’s efforts to collect payments and to protect, preserve and enforce its payment rights and remedies.
It is your responsibility to comply with your contractual requirements and with requirements established by federal, state, or other third-party payors, including but not limited to adhering to billing and documentation procedures, submitting timely and accurate claims, meeting all coverage requirements, and providing all supporting documentation as required under relevant payor policies.
NEW HORIZON’S MAXIMUM LIABILITY TO YOU FOR ALL CLAIMS IN THE AGGREGATE ARISING OUT OF, IN CONNECTION WITH OR IN ANY WAY RELATED TO THIS INVOICE OR ANY PRODUCTS PROVIDED HEREUNDER SHALL BE LIMITED TO ACTUAL DIRECT MONEY DAMAGES ONLY AND SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO NEW HORIZON UNDER THIS INVOICE. IN NO EVENT SHALL NEW HORIZON BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES.
This invoice shall be governed in accordance with and interpreted under the laws of the State of Nevada without giving effect to its choice of law provisions. Any terms set forth on a purchase order or other written documentation provided by you are hereby rejected and shall not be binding on New Horizon.
